Terms and Conditions of Use

1. Introduction​

These Terms and Conditions of Use (“Agreement”) govern your access to and use of Agent Mart Studio, a cloud-hosted service operated by Lucid Data Hub Inc. (“Company”, “we”, “our”, “us”).

By using Agent Mart Studio, you agree to this Agreement. If you do not agree, you must not use the service.

2. Definitions​

  • Software: The Agent Mart Studio SaaS service, operated as a Microsoft Fabric workload application.
  • Account: The credentials you register or are assigned to use Agent Mart Studio.
  • User Content: Workflows, agents, metadata, or other content created or uploaded by you.
  • Company Content: All features, templates, and intellectual property provided by the Company.
  • Third-Party Services: Services or integrations provided by Microsoft Fabric, Azure, or other third parties.

3. License​

The Company grants you a revocable, non-exclusive, non-transferable license to access and use Agent Mart Studio in accordance with this Agreement. The Software is licensed, not sold.

4. Service Availability​

Agent Mart Studio relies on Microsoft Fabric and Azure. Service interruptions may occur due to maintenance, updates, or third-party outages. We do not guarantee uninterrupted availability.

5. Accounts​

You must maintain accurate Account information and safeguard your credentials. Account sharing is prohibited. You are responsible for all activity under your Account.

6. Privacy​

Your use of Agent Mart Studio is subject to the Agent Mart Studio Privacy Policy. By using the service, you consent to the data practices described therein.

7. Content and Data​

  • You retain ownership of your User Content. You grant the Company a license to use it solely for operating and improving the service.
  • Company Content remains the property of the Company and is licensed for use only within the service.
  • Metadata Residency: By using Agent Mart Studio, you acknowledge and consent that certain metadata generated by the application—including data profiling outputs, design definitions, and AI agent workflow configurations—will be securely stored in Lucid Data Hub Inc.–managed Azure databases located in North American regions (U.S./Canada).

Your Microsoft Fabric OneLake data is never copied or stored in Lucid Data Hub’s Azure Cloud infrastructure. Only the metadata and AI agent workflow definitions required for the operation of Agent Mart Studio are retained.

8. Intellectual Property​

All rights in Agent Mart Studio, including its software, designs, and trademarks, belong to Lucid Data Hub Inc. and its licensors.

9. Termination​

The Company may suspend or terminate your access for breach of this Agreement.

You may terminate by discontinuing use of the service. Upon termination, your rights to use the service end immediately.

10. Indemnification​

You agree to indemnify and hold harmless the Company, its affiliates, and employees from claims or damages arising out of your use of Agent Mart Studio or violation of this Agreement.

11. Disclaimers & Limitation of Liability​

Agent Mart Studio is provided “AS IS” without warranties of any kind.

To the maximum extent permitted by law, liability is limited to CAD 100 or the amount you paid for the service (if any).

The Company is not liable for indirect or consequential damages.

12. Service Level Disclaimer​

We do not guarantee 100% uptime. Downtime may result from maintenance, updates, or third-party issues.

Remedies, if any, are limited to service credits (at our discretion) or termination of this Agreement.

13. Data Residency​

All User Information and Metadata generated by your use of Agent Mart Studio are stored in secure Microsoft Azure servers located in North America.

Raw Customer Data remains in your Microsoft Fabric OneLake environment and is not stored or transferred by the Company.

14. Governing Law​

This Agreement is governed by the laws of Canada, excluding conflict-of-law rules.

15. Entire Agreement​

This Agreement constitutes the entire agreement between you and the Company regarding Agent Mart Studio.
